to our accumulated buyer database of approximately 5000 potential buyers.

CONFIDENTIALITY: Is a MUST in all advertising and marketing. No businesses are advertised by name.
All advertising is generic and only general locations are stated as to the locations.
Prospective buyers are questioned as to financial capabilities and required to sign a
Confidentially Agreement before they are disclosed with the name and location of the
Businesses that are for sale.

INFORMATION: To properly present and market your business, we need the following:

1) 3 years Financial Statements and supporting Income Tax Returns.
2) List of all furniture, fixtures and equipment included in sale:
3) Copy of Lease (for Real Estate)
4) Copies of Equipment Lease (if any)
5) Franchise Agreement (if applicable)
6) Real Estate Tax Bills, Survey, etc. (if real estate for sale)
7) Personal property Tax Bills (Winter & Summer)
8) Corporate Resolution
9) Underlying debt holders (if any)
10) MESA #1027 (required by law)

YOUR BUSINESS: The proper presentation and marketing of your business is essential. Your agent will
Recommend different strategies to properly position your business to sell. A proper
evaluation is critical. There are no magic wands. A buyer will buy only if it makes
sense. Grossly overpricing a business will result in that property remaining on the
market and becoming “stale” thereby causing the eventual sale price to be lower
than it should have been if it had been priced properly in the beginning. We will
present all offers submitted by prospective buyers until one has been accepted.

COMMISSION: Properly preparing your business for sale requires the right purchase structure,
Confidentiality, proper marketing, screening the buyer, and negotiating the highest
And best price. Generally, we are not paid until your business or property has been
sold and you have received your proceeds. At the time of closing, our fee is 10% of
the purchase price with a minimum of $12,500 for non-franchised or non-liquor
licensed businesses or a minimum of $15,000 for franchised or liquor businesses.

CLOSING: We recommend that you consult your attorney in all legal matters. We also suggest
And offer both seller and buyer the services of a neutral attorney who will prepare
All closing documents, and coordinate with your attorney to review documents. The
Fee is split between seller and buyer and is the most economical for thee parties. The
Attorney’s current fee is $1,400 for the closing documents and is shared equally with
the Purchaser.
